Two copies of the License Agreement accompanied the DL Manual. One is for your records and the other is to be executed and returned. The text of the License Agreement also appears below. Only firms that have executed the License Agreement may receive updates of the programs.

(herein called the "User"), and Attorneys' Computer Network, Inc., a business corporation, located at 415 Marlboro Road, Kennett Square, PA 19348 ("Acn").
1. License -- User licenses from Acn the DL programs now or hereafter delivered to User, including all updates, modifications and new programs, and all manuals and other materials relating thereto (collectively called the "Programs"), upon and subject to the terms, covenants and conditions herein contained. User shall be entitled to use the Programs to produce documents on a single microcomputer or computer terminal and for no other purpose. If User desires to use the Programs on more than one microcomputer or computer terminal, User shall obtain Acn's prior written consent and shall pay the applicable charge therefor.
2. Archival Copies -- User may make up to three archival copies of the Programs, provided the copies are for the exclusive use of User in accordance with this License Agreement. User shall not make, or permit to be made, any other copies of the Programs.
3. Proprietary Rights of Acn -- User agrees that Acn retains exclusive ownership of: all copyrights, trade secrets and other proprietary rights in and to the Programs; the trademarks and trade names DL DL-asap and Drafting Libraries, and all other trademarks, trade names, logos and product names of Acn; all techniques, algorithms and processes contained in the Programs; and all modifications and extractions thereof. User agrees to safeguard said rights of Acn. User shall not reproduce, transcribe, transmit, store in any Internet, web or other type of retrieval system, translate into any human or computer language, or copy in any way all or any part of the Programs, without the prior written consent of Acn. User shall not reverse engineer, decompile or disassemble the programs. User shall not remove any copyright or trademark notice from any Program.
4. Default -- If User violates any provision hereof, this license shall terminate and User shall return to Acn all copies of the Programs and shall erase the Programs from all computers. User acknowledges that any unauthorized distribution, reproduction or other copying of the Programs would materially damage Acn. If User violates any provision hereof, Acn shall be entitled to injunctive relief, in addition to the recovery of damages.
5. LIMITED WARRANTY -- The Programs are licensed by User "AS IS". The entire risk as to the quality and performance of the Programs is assumed by User. Should the Programs prove defective, User assumes the entire cost of all servicing, repair or correction (unless Acn in its absolute discretion elects to perform the work). User, individually and as attorneys, shall be solely responsible for all documents prepared using the Programs and the contents thereof. User agrees to indemnify and hold Acn harmless from and against any and all claims, costs, damages, liabilities or expenses, including attorneys' fees, pertaining to, or arising in connection with, any use by User or User's clients of the documents composed by the Programs. Acn does not represent that any Program will generate any text which is appropriate for use in any legal document. ACN MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE PROGRAMS OR THE CONTENTS THEREOF, OR THE CONTENTS OF ANY DOCUMENT COMPOSED THEREBY. ACN SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. ACN SHALL HAVE NO LIABILITY FOR COMPENSATORY, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES.
6. Miscellaneous -- User may not assign this license without the prior written consent of Acn. Acn may license the Programs to any other persons or entities as Acn may elect. If any provision hereof is deemed invalid or unenforceable, the remainder of this License Agreement shall remain in full force and effect. This agreement shall be governed by the laws of Delaware, and any dispute relating to this agreement or the Programs shall be resolved by arbitration in Wilmington, Delaware, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
